1. This website is for the sale of entire businesses. The Company is not regulated by the Financial Services Authority or any other regulated body and is strictly prohibited from offering any form of shares, bonds, securities, collective investment schemes or anything similar via this website.

2. The Company does not carry out any initial investigations or due diligence into the buyers who use this website. As such, the company accepts no liability in any respect as a result of information that is supplied to potential buyers in good faith. Equally, the company accepts no resposibility in relation to the information that is supplied at the request of its clients. The Company provides no guarantees in relation to such information and any potential purchaser should satisfy themselves as to the accuracy of such information through their own due diligence process.

3. The Company reserves the right to refuse to upload any business listing if the Company, in its reasonable opinion, considers such listing to be improper, fraudulent or otherwise detrimental to the interests of the company.

The act of registering and/or downloading information or utilising such information that is made available through this website irrevocably binds you to the terms and conditions hereunder.

IMPORTANT NOTICE
The downloading of sales particulars and/or the utilisation of information made available through our website by you or any associated party to you constitutes a legal binding agreement between you and RTA(Business Consultants)Ltd hereafter known as RTA and commits you to the terms and conditions set out below.

Before taking any further action in this matter you should consider these terms and conditions carefully and as appropriate seek appropriate legal guidance.

AN INDIVIDUAL
An individual registering and/or downloading and are/or viewing information on this website agrees ;

1. To treat all information contained herein, and as may subsequently be supplied with complete confidentiality.

2. To make no approach directly to the Owner or the business and/or Property either personally, by telephone or in writing without the consent of R.T.A.

3. To visit the Owner and/or the Business/Property only and strictly by prior appointment to be made and confirmed through the Offices of R.T.A.

4. To make no approach to the Staff of the business or discuss the proposed sale with any Staff member without the consent of the Owner/s.

5. To request and obtain any and all information required including Trading Accounts solely through the Offices of R.T.A.

6. To submit any offer for the purchase of the business and/or Property directly through the Agents R.T.A. and not directly to the Owner.

7. That in the event of agreeing to purchase the Business and/or Property, within seven days of accepting your offer, will pay to R.T.A. a deposit as a sign of good faith amounting to 5% of the purchase price but subject to a minimum of £5,000. This deposit will be held by R.T.A. in a Current Non-Interest Earning Clients Account with no interest being due or paid. This Deposit will be paid “Subject to Contract” and will be fully refundable in the event of the purchase not proceeding to an exchange of Contracts.

8. That upon an offer being accepted, Subject to Contract, on a Leasehold proposition, agrees to supply to R.T.A. the names and addresses of appropriate referees including Bankers to whom R.T.A. can apply for a reference in order to seek the Landlords consent for a Lease. In addition to paying R.T.A. the aforementioned deposit will also pay to R.T.A. the sum of £99.87 inclusive of VAT being the charge due to obtain the References.

9. That sales particulars and information is prepared by R.T.A. purely as a guide and whilst every care is taken to ensure accuracy no responsibility for errors or misdescription is accepted by R.T.A. or any of the Company’s Employees. Any intending purchaser must satisfy themselves by inspection or otherwise as to the correctness of each of the statements contained within any Particulars. It is accepted that the sales particulars and information do not constitute any form of offer and are submitted entirely on a Subject to Contract basis.

10. That, in the event of them breaching any of the aforementioned agreements or, in the event of them purchasing the business and/or property where the previous owner refuses to pay R.T.A.; then the recipient agrees to be equally liable for the Commission Fees due and owing to R.T.A.

11. That these terms and conditions are supplied in advance of further negotiations taking place and therefore any party progressing further does so in the full knowledge and acceptance that these terms are irrevocable and binding.

12. To indemnify the RTA(Business Consultants)Ltd., against any claims, costs, losses, expenses or damages the Company may incur howsoever arising whether direct, indirect or consequential as a result of your use of this website.

13. That this agreement is subject to the ‘Consumer Protection (Distant Selling) Regulations 2000 – S I 2000 No.2334’ and the ‘Electronic Commerce (EC Directive) Regulations 2002’, and that the effective commencement of the service agreement shall be immediately upon registering on this site. Upon registering on this site, you have accepted the terms and conditions as set out herein and RTA(Business Consultants)Ltd. will immediately begin to provide you the services afforded by this website. Any and all future download of any business details and information will be accompanied by a further copy of these terms and conditions which can be printed or saved. This meets the ‘written confirmation’ requirements of the aforementioned acts.

This agreement becomes immediately legal and binding upon you upon registering on this site and if you do not wish to be bound by these terms, then you should not register or access any information.

All intellectual property rights contained on this website, including any trademarks used on the website and copyright and any material contained in the website or rights in any data are owned by or licenced to the Company. You are not given any right to use any intellectual property rights contained on this website otherwise than as expressly permitted by the Company as communicated on the website. Any transfer, sale, distribution, reproduction, copying or modification of any material (in whole or in part) is strictly prohibited other than with the prior written consent of the Company.

Except in respect of death or personal injury caused by the Company’s negligence the Company shall not be responsible for any loss of profit or any indirect, special or consequential loss, damage, costs, expenses or other claims which you incur and which arise out of your use of this website.
